USER(S) / REGISTERED USER(S) / ADVERTISER(S) ELIGIBILITY

User(s) means any individual or business entity / organization that legally operates in his / her / their country, uses and has the right to use the services provided by VA on SA. Our services are available only to those individuals or businesses who can form legally binding contracts under the applicable law. User(s) as individual and / or business entity must ensure before start of use of SA of having self eligibility and right to use the SA as per applicable laws. User(s) must not be a minor as per the law of his / her / their country and as per the law of the country from where user(s) accesses the SA and must be of at least 18 years of age to be eligible to use this SA.

USER(S) AGREEMENT

VA reserves the right to terminate the account of any advertiser/ user(s) without intimation upon any infringement of the rights of others in conjunction with use of the VA’s service, or use of www.sourcingads.com or if VA believes that user(s) conduct is harmful to the interests of VA, SA, its affiliates, or other users, or for any other reason in VA’s sole discretion, with or without cause.

URL’s/Sub-Domain: URL’s/Sub-Domain Names if assigned by VA to its user(s) (which may include both paid and / or free) is the exclusive property of VA and it cannot be assumed to be permanent in any case. VA reserves the right, without prior notice and without any notification, at any point of time, to suspend or terminate or restrict access to or edit the URL’s/Sub domain names. Each User(s) hereby agrees that in no event shall VA be liable to the User(s) or any third parties for any inability to use the SA (whether due to disruption, limited access, changes to or termination of any features on the SA or otherwise), any delays, inaccuracies, errors or omissions with respect to any communications or transmission, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the SA or any of its features.

No User(s) shall undertake any scheme to undermine the integrity of the computer systems or networks used by VA, SA and/or any other User(s) and no User(s) will attempt to gain unauthorized access to such computer systems or networks.  No User(s) to take any action which may undermine the integrity of SA feedback system, such as leaving positive feedback for himself using secondary Advertiser IDs or through third parties or by leaving unsubstantiated negative feedback for another Advertiser.

Each User(s) hereby accepts the Privacy Policy and any of it’s updates and amendments thereto whenever done which will be without any prior notification. • The user(s) breach any provisions of the terms and conditions of use agreement and / or Agreement of SA.
• Utilize SA to send spam messages or repeatedly publish the same product information.
• Post any material to advertisers that is/are not related to international trade or business cooperation.
• Impersonate or unlawfully use another companies name to post information or conduct business of any form.
• Any unauthorized access, use, modification, or control of the SA data base, network or related services.
• Obtain by any means SA advertiser’s user name and/or password.

If VA or www.sourcingads.com (SA) terminates user(s) advertisership, user(s) will not have the right to re-register or join SA under a new account or name unless formally invited to do so by VA. In any case of termination, no advertisership charges will be refunded. User(s) acknowledge that inability to use the SA wholly or partially for whatever reason may have adverse effect on its business for which VA and / or www.sourcingads.com is not responsible. User(s) hereby agree that in no event shall the SA or VA be liable to the user(s) or any third parties for any inability to use the SA (whether due to disruption, limited access, changes to or termination of any features on the website SA or otherwise), any delays, errors or omissions with respect to any communication or transmission, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the SA or any of its features.

ADDITIONAL CONDITIONS FOR USER(S), REGISTERED USER(S) AND ADVERTISER(S)

To become a Registered User(s), there is a proper procedure which is for the convenience of user(s) so that they can easily log-in and log-out. Registered User(s) may also be advertiser(s) in this agreement / terms and conditions of use of Website www.sourcingads.com (SA).

User(s) can become a Registered User(s) by filling an on-line registration form on the SA by giving desired information on registration page. VA will establish an account for the user(s) upon registration. Registered User(s) can use their User Name and Password for log-in access to their Account. Website may or may not assign user(s) upon registration a web-based email/message account with limited storage space to send or receive e-mail/messages. User(s) will be responsible for the content of all the messages communicated through the e-mail Account / message posting field, as Well as the consequences of any such message(s) whether received or sent.

If you register on behalf of a business entity, you represent that business entity and (a) you have the authority to bind that Business Entity to terms and conditions of use of www.sourcingads.com (SA) and this Agreement (b) the address you use when registering is the principal place of business of such business entity; and (c) all other information submitted to VA and / or on SA Website during the registration process is true, accurate, current and complete. VA may refuse registration and deny the advertiser and associated User Name and Password to any user for whatever reason VA may deem suitable at his sole discretion with or without assigning any reason. VA is not liable to assign / inform any reason to anyone for this action. VA at his sole discretion may suspend or terminate a registered advertiser at any time without any prior notification in interest of VA, SA or general interest of its visitors/other advertisers without giving any reason thereof. Registered User(s) are not a part or affiliate of VA in any way. In case if any user pays to purchase for any membership plan and thereafter removes his own / his company’s account from SA Website and asks for refund, in any case NO refund will be made by VA in part or full membership cost.

 

Registration as a SA advertiser at any time in past or present and use of the VA’s SA Website and its part or entire product / service offerings will be taken as acceptance of the rules of conduct and the Terms & Conditions mentioned herein in this Agreement and the amendments thereof whenever done. VA’s decision on all matters is final and binding on its registered user(s) / advertiser(s).

All of the data on products / services and promotions including but not limited to, the prices and the availability of any product or service or any feature thereof on SA, is subject to change without notice at sole discretion of VA for providing the product / service or promotion.

VA has not reviewed, and cannot review, all of the material, including computer software, posted to the Website and external Websites linked by advertiser(s) and cannot therefore be responsible for that material’s content, use or effects. By operating / maintaining the Website SA, VA does not represent or imply that it endorses the material posted on SA or material on external Website links there posted by user(s) / advertiser(s), or that it believes such material to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content. The Registered User(s) will not use E-mail Account for sending junk mail, chain letters or spamming or the transmission of any unlawful, harassing, libellous, cyber bullying, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature. • Each user(s) is wholly responsible for maintaining the confidentiality of account login and password information and for all activities occurring there under. A Registered User must not sell, attempt to sell, offer to sell, give, assign or otherwise transfer an Account whether in part or full, User Name and / or Password to any third party without the prior written consent of VA.  VA may suspend or terminate the Account of a Registered User or the transferee of a Registered User in the event of such sale, offer to sell, gift, assignment or transfer in violation of this Section.

User(s) agrees that VA may refuse registration and deny the issuance of an Account and/or Email Account and associated User Name and Password to any User without assigning any reason.

YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN WEBSITE SA OR ITS PROGRAMS AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENTS OTHER THAN AS SET FORTH IN THIS AGREEMENT.

Conduct and use of language:

• Advertiser contributions must be civil and tasteful and must not be malicious or designed to offend. Use of swear-words or profanity is strictly prohibited.

Do not use the Network to harass, threaten or verbally abuse or intimidate anyone, or behave in any manner that would cause annoyance or distress to other advertiser(s).

• Do not post on Website any material that is obscene, defamatory, profane, libellous, threatening, harassing, abusive, hateful or embarrassing towards other person(s) or an entity. In case VA understands that this has happened, VA reserves the right to immediately delete such material / link from SA, without prior permission / consultation from that advertiser and to terminate that advertiser(s) / user(s) account & NO refunds will be made by VA.

NOTICES

Notice to any User(s) shall be deemed to be received by such User(s) if and when SA is able to demonstrate that communication, whether in physical or electronic form, has been sent to such User(s), or immediately upon SA’s posting, such notice on an area, if provided on the SA Website that is publicly accessible without charge.

In case of any dispute, all court proceedings shall be conducted in either or both English or Hindi language only. Unless the Parties agree on a sole arbitrator, there shall be three Arbitrators, one to be selected by each of the parties, and the third to be selected by the two Arbitrators appointed by the parties. The venue of Arbitration shall be with physical presence of all parties and arbitrators at Bhiwani, Haryana, India only.

Prices may be exclusive of applicable taxes, duties and charges applicable as per law. User(s) are responsible for payment of tax as applicable as per law. VA and www.sourcingads.com (SA) and owner of SA are not liable if the payment processing does not succeed through the payment gateway which may be due to some technical error or whatsoever reason.

 

CANCELLATION OR SUSPENSION OF AN ORDER

Requests by user(s) or advertiser(s) for cancellation, reduction or suspension of an order cannot be considered once user(s) has paid for that relevant service(s) on the SA Website and no money will be refunded in such case. No cancellation, reduction or suspension will be effective until confirmed in writing by VA / SA, the decision remains at VA’s sole discretion, and VA reserves the right to take a decision in this matter. VA’s decision will be final and binding on the user(s) and advertiser(s). User(s) hereby agree to have no objection to any decision that VA takes in this regard.

VA reserves the right to omit or suspend a listing / an advertisement at any time for good reason, without any liability to any advertiser(s) and user(s). VA may, if deems right at his sole discretion and able to do the same, notify the customer /advertiser(s) / user(s) of such action. If such omission or suspension is due to the act or default of the user(s), advertiser(s), the  advertiser(s), or their respective servants or agents, then the advertiser(s), user(s) or the advertiser, as the case may be, will have to pay for the listing / advertisement in full notwithstanding that the listing / advertisement has not been published. In case payment is already made, the same will not be refunded.

MISCELLANEOUS

• Headings of this terms and conditions are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
• VA or SA failure to enforce any right or failure to act with respect to any breach by a User(s) or advertiser(s) under these terms and conditions will neither waive that right nor waive VA’s / SA right to act with respect to subsequent or similar breaches.
• VA shall have the right to assign its obligations and duties in this Agreement and in any agreement relating to any / all of VA / SA services to any person or entity.
• By using the SA Website, user(s) whether advertiser(s), registered user(s), or any user(s) including but not limited to any visitor to SA Website, constitutes acceptance of this complete agreement of terms and conditions of use of SA and the privacy policy of SA. These terms and conditions apply automatically to any new services or features introduced on SA and any amendment / addendum to this terms and condition will automatically be enforced and acceptable to all new and old user(s). User(s) agree this complete agreement of terms and conditions of use of SA Website will be interpreted according to the laws of India only.
• This agreement as terms and conditions of use of SA Website and the Privacy Policy as available latest on the SA Website constitutes the entire agreement BETWEEN the User(s) and VA with respect to access to and use of the SA Website, superseding any prior written or oral agreements in relation to the same subject matter herein.
